Commercial Terms for Industrial Equipment

1. Scope and Purpose

These Commercial Terms explain the general commercial principles that may apply when a business customer requests a quotation, discusses a project, submits a purchase requirement or purchases industrial equipment, components or related procurement services through TAIDA GLOBAL.

TAIDA GLOBAL is a B2B heavy equipment supply chain and export service platform operated by:

Zhejiang Taida Enterprise Management Co., Ltd.

These Commercial Terms are intended for business customers, including:

  • Procurement managers

  • EPC contractors

  • Project owners

  • Industrial companies

  • Equipment distributors

  • Importers

  • Engineering companies

  • Maintenance organizations

  • Fleet operators

  • Other professional buyers

These terms provide general information only. The specific commercial conditions applicable to an order will be stated in the relevant quotation, technical agreement, order confirmation, purchase order or sales contract.


2. Contracting Parties and Business Roles

TAIDA GLOBAL may support customers with:

  • Requirement analysis

  • Equipment selection

  • Technical clarification

  • Supplier and manufacturing-resource coordination

  • Quotation preparation

  • Quality inspection coordination

  • Export packaging

  • Logistics planning

  • Documentation

  • Spare parts

  • After-sales support

TAIDA GLOBAL should not automatically be understood as the direct manufacturer of every product displayed on the website.

Depending on the transaction structure, the formal quotation or sales contract will identify the applicable:

  • Seller

  • Buyer

  • Exporter

  • Manufacturer

  • Service provider

  • Inspection party

  • Logistics party

  • Payment recipient

The legal entity identified in the final commercial documents will be the contracting party for that transaction.


3. Inquiries Do Not Automatically Create an Order

Submitting an inquiry, requesting a quotation or sending technical information does not automatically create a binding purchase or sales contract.

The following actions are normally part of preliminary commercial communication:

  • Completing an online inquiry form

  • Sending an email

  • Contacting TAIDA GLOBAL through WhatsApp

  • Requesting product information

  • Requesting a budget estimate

  • Submitting drawings or specifications

  • Discussing a possible configuration

  • Receiving preliminary technical suggestions

  • Receiving an indicative delivery estimate

An order becomes effective only after the relevant parties complete the required confirmation process stated in the formal transaction documents.

Depending on the project, this may include:

  • Confirmation of technical specifications

  • Acceptance of a formal quotation

  • Issuance or acceptance of a purchase order

  • Signing of a technical agreement

  • Signing of a sales contract

  • Receipt of the required advance payment

  • Completion of applicable compliance checks


4. Quotations

All quotations are prepared according to the information available at the time of issue.

A quotation may include:

  • Product description

  • Model or configuration

  • Technical scope

  • Quantity

  • Unit price

  • Total price

  • Currency

  • Payment terms

  • Quotation validity

  • Incoterm

  • Delivery location

  • Estimated production period

  • Inspection scope

  • Packaging scope

  • Documentation

  • Warranty conditions

  • Exclusions

  • Special commercial notes

Unless expressly stated otherwise, a quotation is not a guarantee that every item remains available indefinitely.

A quotation may require revision when:

  • Technical requirements change

  • Quantity changes

  • Drawings are revised

  • The required standard changes

  • Certification requirements change

  • Material specifications change

  • Inspection requirements increase

  • Packaging requirements change

  • The delivery destination changes

  • Freight conditions change

  • Exchange rates materially affect the transaction

  • The quotation validity period expires

Only the latest formally issued and accepted quotation should be used for order confirmation.


5. Quotation Validity

The validity period of each quotation will be stated in the quotation itself.

After the stated validity period expires, TAIDA GLOBAL may review and update:

  • Product prices

  • Material costs

  • Currency conditions

  • Freight estimates

  • Production schedules

  • Supplier availability

  • Certification costs

  • Inspection costs

  • Packaging and logistics costs

An expired quotation should not be treated as an automatically renewable offer.

The buyer should request written reconfirmation before issuing an order based on an expired quotation.


6. Technical Specifications and Buyer Information

Industrial equipment must be selected according to the actual project requirements and working conditions.

The buyer is responsible for providing complete and accurate information, which may include:

  • Equipment type

  • Required capacity

  • Rated load

  • Dimensions

  • Working environment

  • Duty cycle

  • Operating frequency

  • Material or process medium

  • Pressure

  • Temperature

  • Voltage and frequency

  • Installation conditions

  • Applicable standards

  • Certification requirements

  • Inspection requirements

  • Quantity

  • Destination country

  • Delivery location

  • Drawings

  • Interface conditions

  • Site restrictions

TAIDA GLOBAL may request further clarification before confirming technical feasibility, price or delivery.

Any recommendation is based on the information supplied by the buyer. Changes to the project data may require a new technical review and commercial adjustment.

The final confirmed technical specification should be recorded in the quotation, technical agreement, approved drawing or sales contract.


7. Prices and Currency

Prices will be stated in the applicable quotation or contract.

Unless the quotation expressly states otherwise, prices may exclude:

  • Import duties

  • Destination taxes

  • Customs clearance charges

  • Port charges

  • Storage charges

  • Demurrage

  • Detention

  • Local delivery

  • Installation

  • Commissioning

  • Civil works

  • Site utilities

  • Operator training

  • Third-party inspection

  • Special certification

  • Travel expenses

  • Destination-country compliance costs

The quotation should identify the applicable currency.

Where exchange-rate movements, material-price changes or buyer-requested changes materially affect the transaction, any price adjustment must be confirmed in writing before it applies.

TAIDA GLOBAL does not provide a universal lowest-price guarantee or a single fixed worldwide price for industrial equipment.


8. Taxes, Duties and Government Charges

Responsibility for taxes, customs duties and government charges will depend on:

  • The agreed transaction structure

  • The selected Incoterm

  • The destination country

  • The importer of record

  • Applicable tax laws

  • Customs classification

  • Product value

  • Local regulatory requirements

The buyer is generally responsible for understanding the import taxes, customs duties, licensing requirements and local charges applicable in the destination country unless the formal contract assigns those responsibilities differently.

Any tax exemption or preferential tariff treatment requested by the buyer must be supported by valid documentation.

TAIDA GLOBAL does not guarantee that a particular tariff classification, duty rate or tax treatment will be accepted by destination-country authorities unless specifically confirmed by the competent authority.


9. Payment Terms

Payment conditions will be confirmed on a project-by-project basis.

Depending on the order, payment arrangements may include:

  • Advance payment

  • Progress payment

  • Payment before shipment

  • Payment against shipping documents

  • Letter of credit

  • Other agreed bank settlement methods

The applicable:

  • Payment percentage

  • Payment deadline

  • Bank account

  • Currency

  • Documentary requirement

  • Bank-charge allocation

will be stated in the formal quotation or contract.

Payments must be made only to the bank account identified in an officially issued commercial document or separately verified through an authorized TAIDA GLOBAL contact.

The buyer should independently verify any request to change bank details. TAIDA GLOBAL should not be held responsible for payments sent to an unauthorized account because of phishing, impersonation or unverified instructions.

Unless otherwise agreed:

  • The buyer bears charges imposed by the buyer’s bank;

  • The seller bears charges imposed by the seller’s receiving bank;

  • Intermediary-bank charges will be handled according to the agreed payment terms.

Production, inspection, document release or shipment may be postponed when a required payment is overdue.


10. Incoterms and Delivery Responsibilities

The applicable delivery term will be stated in the formal quotation or sales contract.

Where Incoterms® are used, the transaction documents should identify:

  • The selected three-letter rule

  • The named port, place or destination

  • The applicable Incoterms® version

For example, the documents should not state only “FOB” or “CIF” without the relevant named port and version.

Depending on the agreed transaction, possible terms may include:

  • EXW

  • FCA

  • FOB

  • CFR

  • CIF

  • CPT

  • CIP

  • DAP

  • DPU

  • DDP

The use of any particular term must be confirmed for the specific order. Listing a term on this page does not mean that TAIDA GLOBAL offers that term for every product, country or project.

The agreed Incoterm does not, by itself, determine every issue in the transaction. Payment, title, inspection, warranty, installation, acceptance and dispute resolution must be addressed separately in the commercial documents.


11. Production and Delivery Schedule

Any production or delivery period stated before order confirmation is an estimate unless expressly identified as a guaranteed contractual deadline.

The production period may begin only after completion of the applicable starting conditions, such as:

  • Receipt of the required advance payment

  • Technical specification confirmation

  • Drawing approval

  • Material confirmation

  • Certification confirmation

  • Document approval

  • Resolution of technical questions

  • Confirmation of buyer-supplied interfaces

The schedule may be affected by:

  • Buyer-requested changes

  • Delayed approvals

  • Delayed payments

  • Late submission of project information

  • Material availability

  • Production complexity

  • Inspection scheduling

  • Certification procedures

  • Export documentation

  • Shipping availability

  • Port congestion

  • Customs procedures

  • Events outside reasonable control

Where a delay occurs, the parties should review the cause, revised schedule and practical mitigation plan in accordance with the formal contract.


12. Inspection and Testing

Inspection requirements should be confirmed before order acceptance.

Depending on the product and project, the inspection scope may include:

  • Material-document review

  • Dimensional inspection

  • Visual inspection

  • Functional testing

  • Load testing

  • Pressure testing

  • Electrical testing

  • Welding-document review

  • Coating inspection

  • Packaging inspection

  • Quantity verification

  • Document verification

  • Pre-shipment inspection

The buyer must state whether inspection will be performed by:

  • The buyer’s own representative

  • TAIDA GLOBAL

  • The manufacturer

  • An independent third-party inspection company

  • Another authorized organization

Additional inspection requirements that were not included in the original quotation may result in additional cost and schedule adjustments.

Where buyer attendance or approval is required, the buyer should respond within the period stated in the contract. Delayed attendance or approval may affect the shipment schedule.

Inspection records, certificates and reports will be supplied only to the extent included in the confirmed documentation scope.


13. Packaging

Export packaging will be selected according to factors such as:

  • Equipment dimensions

  • Equipment weight

  • Product sensitivity

  • Transport method

  • Lifting requirements

  • Storage conditions

  • Destination

  • Contract requirements

  • Applicable packaging regulations

Possible packaging methods may include:

  • Export wooden cases

  • Steel frames

  • Pallets

  • Protective wrapping

  • Moisture protection

  • Anti-rust treatment

  • Container securing

  • Open-top container protection

  • Breakbulk shipment protection

Special packaging, fumigation, long-term storage protection, seaworthy reinforcement or destination-specific marking must be requested before quotation confirmation.

Packaging is intended to provide reasonable protection under the agreed transport conditions. It does not eliminate every risk arising from improper handling, extended storage, customs opening, carrier damage or events outside the agreed delivery scope.


14. Shipping, Customs and Import Requirements

The shipping method will be selected according to the equipment, destination, dimensions, weight, schedule and agreed delivery term.

Possible methods may include:

  • Sea freight

  • Rail transport

  • Road transport

  • Air freight

  • Multimodal transport

  • Container shipment

  • Open-top container shipment

  • Flat-rack shipment

  • Breakbulk shipment

The buyer must provide accurate delivery information and disclose any destination restrictions that may affect transportation or unloading.

Unless otherwise agreed, the buyer is responsible for destination-country requirements such as:

  • Import licenses

  • Product registration

  • Customs clearance

  • Destination inspections

  • Local permits

  • Import duties

  • Taxes

  • Port charges

  • Local transport

  • Unloading

  • Site access

  • Special transport permits

Freight estimates may change before booking because of carrier rates, fuel surcharges, equipment availability, port conditions or route changes. Final freight conditions should be confirmed before shipment.

TAIDA GLOBAL does not offer universal free international shipping.


15. Transfer of Risk and Ownership

The point at which transport risk transfers between the parties will be determined by the agreed Incoterm and the formal contract.

Transfer of ownership or title may occur at a different time from transfer of transport risk.

Where relevant, the sales contract should separately state:

  • When risk transfers

  • When ownership transfers

  • Whether ownership is retained until full payment

  • Who is responsible for insurance

  • Who is responsible for loss or damage at each stage

No general website statement should override the transaction-specific provisions in the final contract.


16. Order Changes

Any change requested after order confirmation must be reviewed before implementation.

Changes may affect:

  • Technical feasibility

  • Design

  • Materials

  • Production progress

  • Certification

  • Inspection

  • Packaging

  • Price

  • Delivery time

  • Spare parts

  • Documentation

  • Logistics

A change becomes effective only after the relevant parties confirm it in writing.

TAIDA GLOBAL may issue:

  • A revised quotation

  • A variation order

  • A revised technical agreement

  • A revised production schedule

  • A contract amendment

Work should not proceed based solely on an informal change request where the change affects cost, specifications or delivery.


17. Cancellation

Industrial equipment may be customized, configured or manufactured specifically for a buyer’s project.

Cancellation rights therefore differ from consumer retail purchases.

Where the buyer requests cancellation after order confirmation, the buyer may be responsible for costs already incurred, including:

  • Engineering work

  • Drawings

  • Purchased materials

  • Custom components

  • Production labor

  • Completed manufacturing

  • Testing

  • Certification

  • Packaging

  • Storage

  • Supplier cancellation charges

  • Bank charges

  • Logistics bookings

The amount payable will depend on the stage of the order and the applicable contract.

An order cannot be treated as cancelled until the cancellation and financial settlement are confirmed in writing.


18. Returns and Refunds

Custom-made, configured, modified or project-specific equipment is generally not eligible for consumer-style returns.

A return, replacement, repair, credit or refund may be considered only according to:

  • The confirmed specifications

  • The inspection records

  • The reason for the request

  • The condition of the goods

  • The applicable warranty

  • The allocation of responsibility

  • The formal contract

Goods must not be returned without prior written authorization.

The buyer should not reject equipment solely because of a preference change when the equipment conforms to the confirmed technical documents.

Shipping costs, customs charges, inspection costs and other return-related expenses will be allocated according to the cause of the issue and the final written agreement.


19. Claims for Shortage, Damage or Non-Conformity

The buyer should inspect the shipment promptly after arrival.

Where visible transport damage, package damage or quantity shortage is identified, the buyer should:

  • Record the condition before unloading where possible

  • Take clear photographs and videos

  • Note the issue on the carrier’s delivery record

  • Preserve the packaging

  • Notify the carrier where applicable

  • Notify TAIDA GLOBAL promptly

  • Provide shipping and inspection documents

  • Avoid unauthorized repair or disposal

A technical non-conformity claim should include:

  • Order number

  • Product identification

  • Description of the issue

  • Photographs or videos

  • Measurement data

  • Test records

  • Operating conditions

  • Installation information

  • Relevant drawings

  • Other reasonably requested evidence

The applicable notification period, claim procedure and remedy will be governed by the formal contract and warranty conditions.


20. Warranty and After-Sales Support

Warranty conditions vary according to:

  • Product type

  • Selected configuration

  • Manufacturer

  • Working conditions

  • Installation method

  • Maintenance requirements

  • Operating environment

  • Contract terms

The applicable warranty period, start date, coverage and exclusions will be stated in the formal quotation or sales contract.

Warranty may not cover damage caused by:

  • Incorrect installation

  • Improper operation

  • Overloading

  • Unauthorized modification

  • Inadequate maintenance

  • Use outside confirmed working conditions

  • Normal wear

  • Consumable parts

  • Accident

  • Improper storage

  • External electrical or environmental conditions

After-sales support may include remote technical communication, spare-parts coordination, troubleshooting guidance or other agreed services.

On-site support, travel, accommodation, local labor, lifting equipment and other site costs are not automatically included unless stated in the contract.

21. Force Majeure and Events Outside Reasonable Control

Neither party should be responsible for delay or non-performance caused by an event outside its reasonable control to the extent provided by the applicable contract and law.

Such events may include:

  • Natural disasters

  • Fire

  • Flood

  • Earthquake

  • War

  • Civil disturbance

  • Government restrictions

  • Export or import restrictions

  • Epidemics

  • Major transport interruption

  • Port closure

  • Embargo

  • Severe supply-chain disruption

  • Other comparable events

The affected party should provide notice and reasonable supporting information as required by the contract.

The parties should cooperate to reduce the effect of the event and determine whether the schedule, scope or contract needs to be adjusted.


22. Compliance, Export Controls and Sanctions

Each party is responsible for complying with the laws and regulations applicable to its role in the transaction.

The buyer may be required to provide information concerning:

  • Final destination

  • End user

  • Intended use

  • Importer

  • Project

  • Resale destination

  • Required licenses

  • Restricted-party screening

TAIDA GLOBAL may suspend or decline a transaction where there is a reasonable compliance concern involving:

  • Prohibited goods

  • Restricted destinations

  • Sanctions

  • Export controls

  • False end-user information

  • Illegal diversion

  • Bribery

  • Fraud

  • Money laundering

  • Other unlawful activity

The buyer must not request false product descriptions, undervalued customs declarations, misleading origin information or other inaccurate trade documents.


23. Confidentiality and Technical Information

Commercial proposals, technical solutions, drawings, quotations and supplier information may contain confidential or proprietary information.

Neither party should disclose confidential project information to unrelated third parties except where disclosure is:

  • Necessary for project evaluation

  • Required for manufacturing

  • Required for inspection

  • Required for logistics

  • Required by law

  • Authorized by the other party

Submitting information through a general inquiry form does not automatically create a separate nondisclosure agreement.

Where sensitive drawings, trade secrets or proprietary technology are involved, the parties should consider signing a specific confidentiality agreement before disclosure.


24. Intellectual Property

Ownership of drawings, designs, software, technical documents, trademarks and other intellectual property will be determined by:

  • Pre-existing ownership

  • The project scope

  • The quotation

  • The technical agreement

  • The sales contract

  • Any separate license agreement

Purchasing equipment does not automatically transfer ownership of:

  • Manufacturing drawings

  • Source files

  • Software source code

  • Tooling designs

  • Engineering know-how

  • Supplier intellectual property

  • TAIDA GLOBAL website content

Any rights specifically purchased or licensed to the buyer must be stated in writing.


25. Limitation of General Website Information

Product and commercial information displayed on the TAIDA GLOBAL website is provided for general business reference.

Website content does not constitute a guaranteed:

  • Price

  • Delivery date

  • Technical specification

  • Certification

  • Stock status

  • Warranty

  • Freight cost

  • Import result

  • Project outcome

The buyer should rely on the latest formally issued and accepted transaction documents.

To the extent permitted by applicable law, TAIDA GLOBAL will not be responsible for procurement decisions based solely on unconfirmed website content.

Nothing in these Commercial Terms limits liability that cannot lawfully be excluded or limited.


26. Priority of Commercial Documents

Where there is an inconsistency between documents, the priority should be determined by the final sales contract or expressly agreed document hierarchy.

Unless the formal contract states otherwise, the following documents may be considered in this general order:

  1. Signed sales contract and signed amendments

  2. Confirmed technical agreement and approved drawings

  3. Accepted order confirmation or purchase order

  4. Latest accepted formal quotation

  5. These Commercial Terms

  6. General website content and promotional materials

A document issued later does not automatically replace an earlier binding document unless the parties clearly agree to the change.


27. Governing Law and Dispute Resolution

The governing law, language and dispute-resolution method for each transaction should be stated in the applicable sales contract.

Possible dispute-resolution arrangements may include:

  • Good-faith negotiation

  • Mediation

  • Court proceedings

  • Arbitration

These website Commercial Terms do not independently replace a transaction-specific governing-law or dispute-resolution clause.

Where no applicable clause has been agreed, the parties should obtain appropriate legal advice regarding the laws and jurisdiction relevant to the transaction.


28. Changes to These Commercial Terms

TAIDA GLOBAL may update these Commercial Terms to reflect changes in:

  • Business processes

  • Product scope

  • Payment practices

  • International trade requirements

  • Website functions

  • Applicable regulations

The revised version will be published on this page with an updated revision date.

Changes to the website version will not retroactively amend an existing signed sales contract unless the parties agree in writing.
